Procedures that ensure order, transparency, and effective governance.
A Board of Trustees meeting shall be held as often as the Trustees shall at any time determine.
A meeting of the Board of Trustees shall be convened by the Chairman or at least two trustees.
The Trustees shall at their first meeting elect one of their number as Chairman.
A Chairman of the Board of Trustees shall hold office until he resigns or is replaced by another Trustee elected in his place by the Board of Trustees, or ceases for any reason to be a Trustee.
In the absence of the Chairman of the Board of Trustees at any meeting of the Board of Trustees, the trustees shall elect one of their number to act as Chairman of the meeting.
The notice required for any type of General Meeting shall be 21 days, while 14 days notice shall be required for a meeting of the Board of Trustees.
The quorum required for any General Meeting shall be 3 members present in person; while 2 members present in person shall constitute a quorum for the Board of Trustees Meeting.
Minutes books shall be kept respecting each meeting of the Foundation and the Trustees shall have custody of the Minutes Books and they shall direct where they may be kept.
